The website, not the contract.

awladlogistics.com is a place to read about us and to ask us a question. The trades themselves live in executed contracts on the proper forms.

These terms govern your use of the website at awladlogistics.com (the "Site"), operated by AWLAD ("we", "us", "our"). They do not govern the purchase or sale of grain or any other commodity. Trade terms — quality, quantity, price, delivery, risk, payment, arbitration — live exclusively in the contracts AWLAD signs with its counterparties, drafted on the appropriate GAFTA or FOSFA form and incorporating Incoterms® 2020 where relevant.

By using the Site, you agree to these terms. If you do not, please don't use the Site.

Character of the Site

Informational, not a trading venue
  1. The Site is a public-facing marketing and information resource. It describes AWLAD's areas of activity, the commodities we handle, the corridors we ship on, and the markets we serve.
  2. Nothing on the Site is an offer to sell or a solicitation of an offer to buy any commodity. Quotations are not binding until reduced to a written contract signed by an authorised representative of AWLAD.
  3. The "Send to Trading Desk" form is a means of asking us for a quote. Submitting it does not create a contract.

Indicative Information

Use, but verify
  1. References to commodities, specifications, ports, trade terms, lead times, market indices and pricing are indicative only. They reflect our understanding at the time of publication and may change without notice.
  2. Binding specifications are those agreed in the executed contract for the specific lot.
  3. Where this Site and an executed contract say different things, the executed contract controls absolutely.

Permitted Use

What you can do here
  1. Read the pages, download our quote form, and contact the trading desk.
  2. Quote brief excerpts in the press or in commercial correspondence, with attribution to "AWLAD · awladlogistics.com".
  3. Save pages to your records for the purpose of evaluating a possible trade.
  4. Share the Site link with colleagues, brokers, counterparties.

Intellectual Property

Ownership and the licence granted to you
  1. The Site — including its text, photographs, illustrations, audio narration, source code, design and the AWLAD wordmark — is owned by AWLAD or licensed to it. It is protected by Canadian and international copyright, trade-mark and other intellectual-property laws.
  2. Subject to these terms, AWLAD grants you a personal, revocable, non-exclusive, non-transferable licence to access and view the Site for the purposes described in Permitted Use.
  3. All other rights are reserved. The licence is revoked automatically on breach of these terms.

What You Submit

Form input and incoming email
  1. Information you submit through the quote-request form is handled under our privacy notice. We do not claim ownership of the underlying commercial information you give us — your enquiry, your specifications — but you grant us the licence necessary to read it, store it as part of our commercial records, route it through Brevo for the confirmation emails, and act on it in response.
  2. Don't include in the form anything you wouldn't be willing to put in an email — confidential pricing terms, for instance, should wait for the signed-NDA stage.
  3. If you provide information about a third party (for example, a buyer or a downstream consignee), you confirm you have a basis to do so under applicable privacy law.

No warranty for the website

To the maximum extent permitted by applicable law:

None of the disclaimers in this section override or limit warranties that cannot be excluded under applicable Canadian consumer law, where such law applies.

Limitation of Liability

Reasonable, narrow, capped
  1. To the maximum extent permitted by applicable law, AWLAD is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages — including loss of profits, loss of business, loss of data or loss of opportunity — arising out of or related to your use of the Site.
  2. For any direct damages, AWLAD's total aggregate liability arising out of or related to the Site is capped at CAD $100, even where AWLAD has been advised of the possibility of greater damages.
  3. This section does not exclude or limit liability for death or personal injury caused by AWLAD's negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under applicable Canadian law.
  4. Trade-related liability — for delivery, quality, payment and the like — is governed exclusively by the executed contract and not by these site terms.

Third-Party Links & Services

We point; we don't endorse
  1. The Site may link to third-party websites (for example, regulators, surveyors, or social platforms via the "share" tiles). Following those links takes you outside the Site.
  2. AWLAD is not responsible for the content, accuracy or practices of any third-party site. Use those sites at your own risk and under their terms.
  3. Where the Site uses a third-party service (Brevo for transactional email, Google Fonts for typefaces), that provider's terms and privacy policy apply to that service.

Changes

Versioning
  1. AWLAD may revise these terms from time to time. The current version, dated, is the one published at this URL.
  2. Material changes will be summarised in the colophon below. Continued use of the Site after a change constitutes acceptance of the revised terms.

Suspension & Termination

When access can be cut off

AWLAD may suspend or terminate your access to the Site at any time, with or without notice, where we reasonably believe you have breached these terms or are using the Site in a way that harms AWLAD, our counterparties, or other users.

Governing Law & Forum

Saskatchewan, plainly
  1. These terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable in that Province, without regard to conflict-of-laws rules.
  2. Subject to the next paragraph, the courts of Saskatchewan have exclusive jurisdiction over any dispute arising out of these terms or your use of the Site.
  3. Trade contracts continue to be governed by the law, forum and arbitral rules they themselves specify — typically English law and GAFTA or FOSFA arbitration in London. Nothing here changes that.

General

Cleanup clauses
  1. Severability. If any clause of these terms is held unenforceable, the rest survive.
  2. No waiver. A failure to enforce a right is not a waiver of it.
  3. Assignment. You may not assign your rights under these terms. AWLAD may assign these terms to a successor in connection with a reorganisation or sale of the business.
  4. No agency. Nothing in these terms creates an agency, partnership or joint venture between you and AWLAD.
  5. Entire agreement. These terms, together with our privacy notice and compliance notice, are the whole of the agreement between you and AWLAD with respect to the Site.
  6. Language. The English version is the controlling version. Translations are provided for convenience only.
